TECHOSAURUS LTD TERMS AND CONDITIONS

1. Provision of the Deliverables

Techosaurus LTD agrees to provide IT Support & consultancy services to the client according to the project brief and specification agreed between the parties. All work will be compatible with the latest software and web standards, however, if standards change during or after the completion of the project, the client may need to request additional updates which are not included in this agreement.


2. Acceptance of the Deliverables

The client agrees to accept the Deliverables and to notify Techosaurus LTD within 5 working days of receipt if any defects or errors are identified. Failure to provide notification within this period will be deemed acceptance of the Deliverables. The client acknowledges that any updates required due to changes in software or web standards will not be included in this acceptance process.


3. Mutual Rights and Obligations

Both parties agree to communicate in good faith and to work collaboratively towards the completion of the project. Techosaurus LTD will provide regular updates on progress, and the client agrees to provide timely feedback to enable the project to be completed on schedule. In the event that changes are required due to changes in software or web standards, Techosaurus LTD will notify the client of any additional costs or timeframes that may be required.


4. Payment Obligations

Unless otherwise stated, payment terms are on receipt of invoice, and in some situations, this can be extended to a maximum of 30 days. The client agrees to pay all invoices promptly and in full, and to notify Techosaurus LTD immediately of any concerns or disputes regarding invoicing. Any additional costs incurred due to changes in software or web standards will be clearly outlined in the invoice.


5. Hardware and Labour Charges

All hardware provided by Techosaurus LTD will be billable upfront, and any labour charges will be billable in arrears at the current standard rate. Techosaurus LTD will notify clients if there are any changes to the labour rates at any point.


6. Annual Agreement Renewal

For any annual agreements, Techosaurus LTD will notify clients at least 1 month before payment is due for renewal. If the client does not respond, Techosaurus LTD will renew the agreement and expect payment to ensure there is no loss of services.


7. Your Other Obligations

The client agrees to provide a safe working environment for Techosaurus LTD employees and contractors, and to comply with all relevant health and safety legislation. The client also agrees to provide access to all necessary information and resources required for the project to be completed to a satisfactory standard. If changes are required due to changes in software or web standards, the client agrees to provide any additional information or resources required to facilitate these updates.


8. Third Party Terms

Techosaurus LTD will comply with all third-party terms and conditions that apply to the project, including software licenses, hosting agreements, and domain registration requirements. The client agrees to be responsible for any third-party fees or charges incurred as a result of the project, including any fees or charges incurred due to changes in software or web standards.


9. Microsoft 365

Techosaurus LTD is a Microsoft Partner (5065902) and an Indirect Reseller of Microsoft 365 licences through Pax8/Wirehive. In order to resell licences through your Microsoft 365 tenancy, both Techosaurus LTD and Wirehive will be added as a partner relationship.

Unless explicitly stated Microsoft 365 licences are subject to an annual commitment. You are unable to decrease the number of licences during the commitment period, and the licence quantities will remain valid for the duration of the annual commitment. However, you may increase the number of licences at any time during the commitment period, and the cost will be prorated for the remainder of the term.

We will provide you with notice of licence renewal at least 30 days prior to the expiration date. To ensure continued service, we will automatically renew and charge you for the licences unless we receive notice to the contrary.


10. Intellectual Property

All intellectual property rights in the Deliverables will be owned by the client upon receipt of payment in full. Techosaurus LTD retains the right to use the Deliverables in its portfolio and for marketing purposes, subject to any confidentiality agreements between the parties.


11. Data Protection

Techosaurus LTD agrees to comply with all relevant data protection legislation and to ensure that client data is stored securely and used only for the purposes of the project. The client agrees to provide all necessary consents for the processing of personal data as required. Techosaurus LTD will notify the client immediately of any data breaches or security incidents that may occur during the course of the project.


12. Limitation of Liability

Techosaurus LTD accepts no liability for loss of business or earnings resulting from the use of any solutions proposed or developed by us. The client acknowledges that the use of any such solutions is at their own risk and that Techosaurus LTD shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the solutions provided by Techosaurus LTD.


13. Changes to Contract

Techosaurus LTD reserves the right to amend these terms and conditions at any time by providing written notice to the client. Any changes will take effect immediately upon receipt of notice. If changes are required due to changes in software or web standards, Techosaurus LTD will notify the client of any changes to these terms and conditions that may be required.


14. Termination of Contract

Either party may terminate this agreement by providing written notice to the other party. In the event of termination, the client agrees to pay all outstanding invoices and any additional costs incurred due to changes in software or web standards up to the date of termination. Techosaurus LTD will return all client data upon termination, subject to any confidentiality agreements between the parties.


15. Suspension of Services for Non-Payment

In the instance of non-payment, Techosaurus LTD reserves the right to temporarily withhold any services provided to the client. This action will be taken following a reasonable notice period after the payment due date, allowing the client adequate time to settle the outstanding balance. During this suspension period, all services including but not limited to IT support, consultancy services, and access to hardware, will be paused until full payment has been received. Upon receipt of the outstanding payment, Techosaurus LTD will promptly reinstate all services. The client acknowledges and agrees that Techosaurus LTD shall bear no liability for any loss, damage, or inconvenience resulting from such suspension of services.

Effective Date: 11th March 2023

By engaging Techosaurus LTD to provide IT Support & consultancy services, the client agrees to be bound by these terms and conditions.
